Fuel Shake-up: Gull and NPD Seek Merger to Create NZ’s Third-Largest Petrol Giant

WELLINGTON, NEW ZEALAND (Tuesday, January 20, 2026) — The Commerce Commission has officially received a merger application from discount fuel retailers Gull and NPD, a move that could significantly alter the landscape of New Zealand’s fuel market.
If approved, the merger would consolidate the two low-cost brands into a massive network of 240 fuel stations, leapfrogging competitors to become the country’s third-largest fuel operator, trailing only behind industry heavyweights Z Energy and BP.

The proposed merger, first announced on Christmas Day, aims to combine Gull’s strong North Island presence with NPD’s dominant South Island footprint.
- Ownership Structure: The Sheridan family (current owners of NPD) will hold a 50% stake, while Allegro Funds (the Australian private equity firm that owns Gull) will hold the remaining 50%.
- Leadership: Barry Sheridan, the current CEO of NPD, is slated to become the Group CEO of the newly merged entity.
- Branding: To maintain customer loyalty, both brands are expected to keep their distinctive names and visual identities at existing sites.

The Automobile Association (AA) has expressed optimism about the deal, suggesting it could lead to even lower prices at the pump.
Terry Collins, AA Principal Policy Advisor, highlighted that both companies operate on high-efficiency, low-cost business models.
“When Gull first arrived… it became known as the ‘Gull Effect’ because it dropped prices and competitors had to match it. Now you’ve got two strong companies… seeking to utilize their assets a lot more efficiently. If they do that, we’ll obviously see lower prices,” Collins stated.

The Commerce Commission is currently in the preliminary stages of its investigation. Their primary focus is ensuring that the merger does not “substantially lessen competition” in the New Zealand fuel market.

- Decision Deadline: The Commission has set a final deadline of March 16, 2026, to either approve or decline the application.
